1. Introduction

Welcome to Busy Office, an online business management software that includes project management, accounting, POS, CRM, and HRM systems. The Customer agrees not to do any of the following:

• Use the Busy Office website or services for any unlawful purpose.
• Reverse engineer, decompile, or disassemble the Busy Office website or services.
• Copy, modify, or distribute the Busy Office website or services without Busy Office's express written permission.
• Transfer or sublicense the Customer's license to use the Busy Office website or services to any third party.

5. User Data

The Customer owns all User Data. The Customer grants to Busy Office a non-exclusive, non-transferable license to use User Data to provide the Busy Office website and services to the Customer. Busy Office will not disclose User Data to any third party without the Customer's express written permission.

6. Confidentiality

Busy Office agrees to keep all User Data confidential. Busy Office will not disclose User Data to any third party without the Customer's express written permission.

7. Disclaimer

THE BUSY OFFICE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND. BUSY OFFICE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE. BUSY OFFICE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE BUSY OFFICE WEBSITE OR SERVICES, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUSY OFFICE'S LIABILITY TO THE CUSTOMER FOR ANY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE BUSY OFFICE WEBSITE OR SERVICES SHALL BE LIMITED TO THE AMOUNT OF FEES PAID BY THE CUSTOMER TO BUSY OFFICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

9. Termination

Busy Office may terminate the Customer's license to use the Busy Office website and services at any time, for any reason, and with or without notice.

10. Governing Law and Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of Uganda, without regard to its conflict of law provisions.

11. Entire Agreement

These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck from these Terms and the remaining provisions shall remain in full force and effect.

13. Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by both parties.

14. Notices

All notices and other communications under these Terms shall be in writing and shall be deemed to have been duly given when delivered in person.

15. Changes

Busy Office reserves the right to change these terms and conditions at any time. If Busy Office makes any changes to these terms and conditions, Busy Office will post the revised terms and conditions on the Busy Office website. Your continued use of Busy Office after such changes constitutes your acceptance of the revised terms and conditions.
